These Terms of Service (“Terms”) govern your access to and use of the OffMarketBusinessFinder website, marketplace, and related services (the “Services”), provided by OffMarketBusinessFinder (“OffMarketBusinessFinder,” “we,” “us,” or “our”). This is a general-purpose agreement provided for informational purposes and does not constitute legal advice. By accessing or using the Services, you agree to these Terms.
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current.
Certain features require a paid membership. Fees, billing intervals, and plan details are presented at checkout and may change. Subscriptions renew automatically until canceled. Except where required by law, payments are non-refundable. You authorize us and our payment processors to charge your payment method for applicable fees.
OffMarketBusinessFinder is a members-only marketplace that facilitates connections among buyers, sellers, and advisors. We do not guarantee the accuracy, quality, legality, or availability of any listing, business, or party. We are not a party to, broker of, or guarantor of any transaction between users, and we are not responsible for the conduct of any user or the outcome of any deal. You are solely responsible for your own due diligence.
You agree not to misuse the Services, including by violating any law, infringing any rights, submitting false or misleading information, scraping or harvesting data, interfering with the Services, or attempting to gain unauthorized access. We may suspend or terminate access for any violation.
You retain ownership of content you submit, but you grant us a worldwide, royalty-free license to use, host, reproduce, modify, distribute, and display that content to operate and promote the Services. You also acknowledge and agree that we may collect, use, share, license, and sell information related to you and your use of the Services, including personal and contact information, to third parties for their own commercial purposes, as described in our Privacy Policy.
The Services may include non-public, confidential, or proprietary information about businesses and opportunities. You agree to use such information only to evaluate potential transactions through OffMarketBusinessFinder and not to disclose or exploit it for any other purpose.
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
To the fullest extent permitted by law, OffMarketBusinessFinder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.
You agree to indemnify and hold harmless OffMarketBusinessFinder and its affiliates from any claims, losses, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.
We may modify these Terms or the Services at any time. Changes are effective when posted, and your continued use constitutes acceptance. We may suspend or terminate the Services or your access at any time.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Florida.
